Agreement to Terms

By accessing our website at https://bigint.studio or engaging BigInt Studio for services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our website or services.

Services

BigInt Studio provides software development, AI/ML engineering, cloud infrastructure, and technical consulting services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

Any changes to the agreed scope must be documented in writing and approved by both parties. Changes may affect the project timeline and cost.

Project Engagements

Each project engagement begins with a discovery phase where we assess requirements and provide a detailed proposal. Upon acceptance of the proposal, both parties will sign a project agreement that outlines:

• Detailed scope of work and deliverables
• Project timeline and milestones
• Payment schedule and terms
• Communication protocols
• Acceptance criteria

Payment Terms

Payment terms are specified in each project agreement. Unless otherwise stated:

• A deposit of 30-50% of the total project cost is required before work begins
• Milestone payments are due upon completion and acceptance of each milestone
• Final payment is due upon project completion and handover
• Invoices are payable within 15 days of issuance unless otherwise agreed
• Late payments may incur interest at 1.5% per month on the outstanding balance

All prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise. GST will be charged as applicable.

Intellectual Property

Upon full payment for a project, all custom code, designs, and deliverables created specifically for the client are transferred to the client. This includes:

• Custom application code and configurations
• Database schemas designed for the project
• Documentation and technical specifications
• Design assets created for the project

BigInt Studio retains the right to use general knowledge, skills, and experience gained during the engagement. We also retain the right to use pre-existing tools, libraries, and frameworks that we bring to the project. Third-party software and open-source libraries used in the project remain subject to their respective licenses.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This includes business strategies, technical architecture, customer data, and any information marked as confidential. We sign NDAs upon request and treat all client information with strict confidentiality.

Limitation of Liability

To the maximum extent permitted by applicable law, BigInt Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with our services.

Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for that specific engagement.

Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after project delivery during which we will fix any bugs or defects in the delivered software at no additional cost.

This warranty does not cover issues arising from modifications made by the client or third parties, misuse of the software, or changes in third-party services or APIs beyond our control.

Termination

Either party may terminate a project engagement with 14 days written notice. In the event of termination:

• The client pays for all work completed up to the termination date
• All completed deliverables and source code are handed over to the client
• Any advance payments for incomplete work are refunded on a pro-rata basis

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
